Overview

Sylvia Mukuna is a senior associate in our Nairobi office and a member of the Corporate Commercial department.

She specializes in corporate and commercial legal work involving mergers and acquisitions, private equity and joint venture transactions, private client work and general corporate and commercial advisory work and is regularly responsible for:

  • undertaking legal due diligence exercises in many high profile Kenyan and international merger transactions and private equity transactions;
  • drafting and negotiating transaction documents (e.g., share purchase agreements, subscription agreements, business and asset transfer agreements, shareholders’ agreements etc.) for many high profile Kenyan and international transactions;
  • project management of transactions and seeing them through to completion;
  • providing regulatory and structuring advice for investors seeking to set up in Kenya and assisting such investors to set up in Kenya and to procure the requisite licences; and
  • general advisory on corporate commercial matters and other legal matters.

She is an Advocate of the High Court of Kenya and a member of the Law Society of Kenya. She is also an affiliate member of the Association of Chartered Certified Accountants (ACCA).

Sylvia holds a Bachelor of Laws degree from University of Nairobi and a Postgraduate Diploma from the Kenya School of Law.

  • Acting for Oserian Development Company Limited on the sale of its flower business in Kenya.
  • Acting for mPharma Africa B.V. on its investment in Haltons Limited by way of a share purchase from an exiting private equity fund.
  • Acting for UAP Old Mutual Group in relation to the restructuring of its life insurance business through a scheme of arrangement.
  • Acting for Kenya Airways PLC on its proposed nationalization and merger with Kenya Airports Authority and delisting from the Nairobi Securities Exchange.
  • Acting for Commercial Bank of Africa Limited on its merger with NIC Bank PLC.
  • Acting for Kenya Airways PLC on its 2017 balance sheet debt and equity restructuring valued at over USD 2 billion.
  • Acting for International Columbia US, LLC in relation to the sale of its entire stake in a medical centre in Kenya.
  • Providing general legal advice and support on various corporate and commercial matters.
