Overview
Sbusisiwe Masondo is an associate in the Banking and Finance Department of our Johannesburg office and currently a member of the Project Finance Practice.
Sbusisiwe has experience in advising clients on banking and finance, project finance, renewable energy and PPP related matters. She has assisted with advising international and local clients who identify as major banks, development funding institutions (such as the IFC and DBSA), international funding organisations and large infrastructure and construction companies.
Sbusisiwe specialises in drafting and reviewing financing and security-related agreements, opinion related work, PPP agreements, corporate documents (from a project finance perspective), conducting due diligences investigations and providing refinancing advise for existing projects.
Experience
Sbusisiwe Masondo has participated and assisted in the following deals (to name a few):
- Assisting Standard Bank in reaching Financial Close with Scatec (a leading renewable energy company) and H1 Holdings to successfully reach financial close on its three Grootfontein photovoltaic, solar power plant projects in South Africa. The solar power plants will be the first Scatec assets located in the Western Cape province of South Africa with a total capacity of 273MW of solar power.
- Refinancing of Lesedi and Lestatsi for RMB.
- Assisting with providing advice to the Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division) in respect of a ZAR 350 million term loan facilities provided to WBHO Proprietary Limited for the purposes of (i) reimbursement of amounts paid by it to any guarantors made under the Guarantee and Indemnity Agreement; (ii) funding an arrangements in order to discharge any guarantees issued; and (iii) a payment under a Deed of Company Arrangement for Australian Entities;
- Assisting with providing advice to the Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division) in respect of a ZAR130 million term loan facilities provided to Rainprop (RF) Proprietary Limited for the purposes of providing financial assistance through an inter-company loan arrangement for the direct or indirect payment of the purchase price of the Preference Shares under the Acquisition Agreement;
- Assisting with providing advice to the International Finance Corporation in respect of (i) a $10 million facility provided to Premier Credit Limited (an entity in Kenya); (ii) a $10 million facility provided to Platinum Credit Limited (an entity in Kenya); (iii) a $3 million facility provided to Premier Credit Limited (an entity in Uganda); and (iv) a $2 million facility provided to Platinum (U) Credit Limited (an entity in Uganda) for the purposes providing funds for financing lending operations to eligible sub-borrowers by way of eligible sub-loans;
- Assisting with providing advise to Green Transmission Development Company Proprietary Limited with entering into and concluding a Collaboration Agreement with (i) Genesis Woodhouse Solar Proprietary Limited for the construction works to connect a generator to the distribution system for the Zonnequa Wind Farm and Namas Wind Farm in the Northern Cape and Genesis Woodhouse Solar (175MW) Project in the North West Province; and (ii) Mulilo Renewable Project Developments Proprietary Limited for the construction works to connect a generator to the distribution system for the Boven Solar PV1, a maximum 150MW facility in the Northern Cape and Gemsbok Solar PV1, a maximum 225MW facility in the Northern Cape;
- The acquisition of Studio88 by Mr Price Group (Project Disco) from an Intellectual Property and Information Technology perspective; and
- Drafting and reviewing the BitDirect Terms and Conditions (Terms of Service with Users).
