Overview

Nonhlelo is a senior associate in the Corporate Department of our Johannesburg office and a member of our Mergers and Acquisitions practice. Nonhlelo specialises in private and public mergers and acquisitions and general corporate law. She has expertise in drafting commercial agreements, conducting legal due diligence investigations and advising clients on regulatory and corporate governance issues, of varying complexities, in the mergers and acquisitions environment in South Africa. Prior to joining Bowmans, Nonhlelo worked at another leading South African law firm.

Experience

*Experience gained prior to joining Bowmans

  • Advised MSC Mediterranean Shipping Company SA (acting through its wholly-owned subsidiary, SAS Shipping Agencies Services Sàrl) in a consortium with Remgro Limited in the Recommended Cash Acquisition of Mediclinic International plc (Mediclinic). This “take private” transaction places an enterprise value of approximately ZAR125 billion on Mediclinic.
  • Advised Old Mutual Limited in the ZAR2.8 billion Broad-Based Black Economic Empowerment ownership transaction in Old Mutual, ‘Old Mutual Bula Tsela’, resulting in a circa 4% increase in the Black shareholding in Old Mutual.
  • Represented MTN Dubai Limited in its disposal of 50% of the shares in aYo Holdings Limited (aYo) to Sanlam Emerging Markets Proprietary Limited. Through aYo, the alliance seeks to continue to build and develop digital insurance and investment offerings that provide people across Africa with easier access to Sanlam’s products, particularly those people who have typically been unable to access traditional distribution channels.
  • Advised African Rainbow Capital, a fully Black owned and controlled company of significant scale focusing on opportunities in the South African and African financial services and diversified investments (non-financial) industries, in its acquisition of Tyme Bank, the deal value of which amounted to an average of ZAR8 000 000 000.*
  • Advised Naspers Foundry, an investment vehicle aiming to boost South Africa’s tech ecosystem by investing in and supporting high-potential tech businesses that address societal needs, in its acquisition of We Buy Cars, the deal value of which amounted to an average of ZAR1 400 000 0000.*
  • Advised Sasol SA, a public company listed on the Johannesburg Stock Exchange in South Africa and the New York Stock Exchange in the United States, in its sale to Corporate Mix Trading Proprietary Limited of Sasol SA’s 30% stake in ROMPCO, the deal value of which amounted to an average of ZAR4 125 000 000.*
  • Advised African Rainbow Capital Investments Limited, a public company listed on the Johannesburg Stock Exchange in South Africa and incorporated in the Republic of Mauritius, in its ZAR750 000 000 fully committed and underwritten pro rata non-renounceable rights offer.*

  • Bachelor of Laws degree, with distinction, from the University of Pretoria.
  • Postgraduate certificates in Advanced Company Law I and II from the University of the Witwatersrand.
