Overview

Arnold Mutisya is a senior associate in our Nairobi office and a member of the Corporate Commercial Department.

He specialises in corporate and commercial law work involving mergers and acquisitions, private equity and joint venture transactions, private client work and general corporate and commercial advisory work and is regularly responsible for:

  • undertaking due diligence exercises in many high profile Kenyan and international merger transactions, joint venture transactions and private equity transactions;
  • drafting and negotiating of the transaction documents (e.g., share purchase agreements, business and assets transfer agreements, shareholders’ agreements, joint venture agreements, power purchase agreements, EPC contracts etc.) for many high profile Kenyan and international transactions;
  • project management of transactions and seeing them through to completion;
  • providing regulatory and structuring advice for investors seeking to set up in Kenya, particularly in respect of regulated sectors such as the telecommunications, banking, pharmaceuticals and insurance sectors and assisting such investors to set up in Kenya and to procure the requisite licences; and
  • general advisory on corporate commercial matters and other legal matters.

Arnold has experience in a wide range of corporate and commercial matters and has acted in many high profile Kenyan and international merger transactions, joint venture transactions and private equity transactions as well as corporate and commercial advisory work.

He is an Advocate of the High Court of Kenya and a member of the Law Society of Kenya. Arnold is a Certified Public Accountant (CPA) and he is also registered as a Certified Secretary (CS) with the Institute of Certified Secretaries of Kenya (ICS).

  • Acting for a leading retailer in respect of a minority acquisition by a private equity fund.
  • Acting for a leading multinational firm in the sale of their Kenyan-based flower farm to another leading multinational firm in the floriculture business.
  • Acting for a leading multinational firm in the oil marketing sector to complete the acquisition of an oil marketing company based in Kenya.
  • Acting for a leading public listed company to issue a corporate bond in the Domestic Medium Term Note (MTN) Programme.
  • Provision of setting up advice and subsequent support in setting up to clients in different sectors including the telecommunications sectors, banking sectors as well as charitable entities looking to set up in Kenya.
  • Acted in various high profile Kenyan and international merger transactions, joint venture transactions and private equity transactions.
  • Private client work including estate planning.
  • Provision of general legal advice and support on general corporate and commercial matters.

Qualifications

  • Advocate of the High Court of Kenya and a member of the Law Society of Kenya.

  • Bachelor of Laws (LLB) degree from University of Nairobi.
