Overview

Andiswa is an associate in the Banking and Finance Department and a member of the General Finance Practice in our Johannesburg office.

Andiswa has experience advising lenders and borrowers on secured and syndicated finance, fund finance, structured finance, acquisition finance, project finance, trade finance, mining and resource finance, debt restructurings, public-private partnerships and real estate finance transactions. He also has experience in debt capital market transactions including the establishment of domestic medium term note programmes as well as note issuances thereunder.

Experience

  • Andiswa was a member of the team that advised South Africa’s National Treasury on a sustainable solution to address Eskom’s debt in a manner that is equitable to all stakeholders, and which does not adversely affect the country’s fiscal position. Eskom Holdings Limited is the largest producer of electricity in Africa and the largest South African state-owned entity.
  • Advised a syndicate of lenders regarding the provision of facilities amounting to ZAR 15 billion in relation to the Trans-Caledon Tunnel Authority’s (TCTA) Lesotho Highlands water project. TCTA is a South African state-owned entity charged with financing and implementing bulk raw water infrastructure projects.
  • Advised an international mining company regarding the provision of US$ 200 million gold stream financing and an additional US$ 100 million palladium and platinum stream financing for its South African operations.
  • Advised The Standard Bank of South Africa Limited in respect of a ZAR 1 billion fund financing transaction within the property technology (proptech) sector.
  • Advised ABSA Bank Limited on an intricate USD-based financing for a residential development in Kenya, in collaboration with the United States Government Bureau of Overseas Buildings Operations.
  • Advised a syndicate of lenders in multiple African jurisdictions regarding the provision of facilities to the Zimbabwe Power Company in relation to the Hwange Expansion Project.
  • Advised the Prieska Power Reserve Project regarding the provision of a co-operation and funding agreement with The Development Bank of Southern Africa in relation to funding a green hydrogen and ammonia project.
  • Advised The Standard Bank of South Africa Limited in respect of facilities amounting to ZAR 350 million provided to WBHO Proprietary Limited for acquisition and debt restructuring purposes.
  • Advised FirstRand Bank Limited (acting through its Rand Merchant Bank division) in relation to the refinancing and restructuring of McDonald’s South Africa’s debt package.
  • Advised one of the leading Kentucky Fried Chicken franchisees in South Africa, in relation to the provision of facilities amounting to ZAR 500 million.
  • Advised Mercedes-Benz South Africa Limited in relation to the amendment and restatement of its ZAR 35 billion Domestic Medium Term Note Progra`mme.
  • Advised Scania Finance Southern Africa in relation to the establishment of its Botswanan BWP 500 million Domestic Medium Term Note Programme and the debut issuance of notes thereunder.
  • Advised Sanlam Life Insurance Limited in relation to the amendment and restatement of its ZAR 6 billion Unsecured Subordinated Note Programme.
